Job Description

The Legal Counsel will provide comprehensive legal support and advice to the company, ensuring compliance with legal and regulatory requirements and protecting the company’s interests. This role requires a highly skilled legal professional with a strong background in corporate/commercial law, labor, and regulatory compliance. The Legal Counsel will report directly to the Head of Legal and will play a critical role in managing legal risks and supporting business operations.

Key Responsibilities:

I. Legal Advisory and Support

- Provide expert legal advice on a wide range of legal issues, including contracts, corporate governance, regulatory compliance, labor and litigation.

- Draft, review, and negotiate contracts, agreements and documents to align and protect the company’s interests.

- Support business units with legal insights and solutions to facilitate business operations.

- Exercise other functions and perform other tasks as may be assigned by the Head of Legal of the company.

II. Compliance and Regulatory Management

- Ensure the company’s operations comply with relevant laws, industry regulations, and internal policies, as well as ensuring that the company complies with all relevant regulatory requirements.

- Prepare and submit permit applications to relevant government agencies.

- Liaise with government officials to facilitate the approval process.

- Develop and implement compliance programs and policies to mitigate legal risks.

- Conduct regular audits and assessments to ensure compliance and quality control.

III. Litigation and Dispute Resolution

- Manage and oversee litigation matters, including coordinating with external counsel.

- Develop strategies for dispute resolution and negotiate settlements to minimize legal exposure.

- Ensure effective management of all legal disputes and claims.

IV. Corporate Governance

- Oversee corporate governance practices to ensure compliance with legal and regulatory requirements.

- Manage board meetings, prepare minutes, and ensure adherence to corporate governance standards.

- Maintain corporate records and ensure timely filings with regulatory authorities.

V. Risk Management

- Identify potential legal risks and develop mitigation strategies to address them.

- Monitor and manage risks throughout the organization to minimize impact on business operations.

- Ensure contingency plans are in place and activated as needed.

VI. Stakeholder Engagement

- Engage with key stakeholders, including clients, partners, regulatory bodies, and industry associations, to build strong relationships and ensure alignment with legal standards.

- Communicate effectively with the executive leadership team and the Board of Directors on legal matters.

- Represent the company in industry forums, conferences, and public events related to legal and regulatory issues.

Qualifications:

  • Education: Bachelor’s degree in Law or Juris Doctor degree (LLB or equivalent). Licensed to practice law in the Philippines. Must be a member in good standing of the Philippine Bar.

  • Technical Skills: Strong understanding of corporate/commercial law, regulatory compliance, labor and litigation.

  • Analytical Skills: Excellent analytical and problem-solving skills, detail-oriented, and with the ability to identify issues and develop effective solutions.

  • Communication: Strong verbal and written communication skills, with the ability to engage and influence stakeholders and counterparties at various levels.

  • Negotiation Skills: Demonstrated ability to negotiate complex contracts and agreements effectively.

The candidate must possess all of the experiences:

  • Minimum of 5 years of experience of legal practice in a Philippine law firm, with at least 1 year experience as senior associate in a Philippine law firm.

  • Must have at least 1 year experience as in-house (company) legal counsel in a company that is part of a conglomerate or in a multinational company.

  • Legal practice focuses on corporate/commercial law, regulatory compliance and labor law. Experience in the technology, telecommunications, energy, real estate, construction and/or data center industry is highly desirable.
